1. Introduction

Welcome to Apex Internet Technologies Pvt. Ltd. These Terms and Conditions (“Terms") govern your use of our services, including SEO, Online Examination Services, and ERP System. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Definitions

  • Company: Refers to Apex Internet Technologies Pvt. Ltd.
  • Services: Refers to the SEO, Online Examination Services, and ERP System provided by the Company.
  • Client: Refers to any individual or entity that uses the Services provided by the Company.

3. Services

3.1 SEO Services

  • Scope: The Company will provide Search Engine Optimization (SEO) services as specified in the agreement with the Client.
  • Deliverables: The Company will provide periodic reports detailing the performance and progress of SEO activities.
  • Limitations: The Company does not guarantee specific rankings on search engines.

3.2 Online Examination Services

  • Scope: The Company will provide online examination services, including platform access, technical support, and secure examination environments.
  • Responsibilities: The Client is responsible for providing accurate and complete examination content and ensuring the integrity of the examination process.
  • Limitations: The Company is not responsible for any technical issues or disruptions that are beyond its control.

3.3 ERP System

  • Scope: The Company will provide an Enterprise Resource Planning (ERP) system tailored to the Client’s requirements.
  • Implementation: The Company will work with the Client to ensure successful implementation, including data migration, system configuration, and training.
  • Maintenance: The Company will provide ongoing maintenance and support as specified in the service agreement.
  • Limitations: The Company is not responsible for any issues arising from improper use or unauthorized modifications of the ERP system.

4. Payment Terms

  • Fees: The Client agrees to pay the fees specified in the service agreement. Fees are non-refundable except as provided in these Terms or the service agreement.
  • Payment Schedule: Payments are due according to the schedule specified in the service agreement.
  • Late Payments: Late payments may result in suspension or termination of Services.

5. Intellectual Property

  • Ownership: The Company retains all intellectual property rights to any materials, software, and methodologies used or developed in the provision of Services.
  • License: The Client is granted a non-exclusive, non-transferable license to use any deliverables provided by the Company solely for the purpose for which they were intended.

6. Confidentiality

  • Confidential Information: Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the service agreement.
  • Non-Disclosure: Neither party will disclose confidential information to any third party without the prior written consent of the other party.

7. Warranties and Disclaimers

  • Warranties: The Company warrants that it will provide the Services in a professional and workmanlike manner.
  • Disclaimers: The Company makes no other warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

8. Limitation of Liability

  • Exclusion of Damages: The Company will not be liable for any indirect, incidental, or consequential damages arising out of or related to the use of the Services.
  • Limitation of Liability: The Company’s total liability for any claim arising out of or related to the Services will not exceed the amount paid by the Client for the Services in the 12 months preceding the claim.

9. Termination

  • Termination for Cause: Either party may terminate the service agreement for cause if the other party breaches a material term and fails to cure the breach within 30 days of receiving written notice.
  • Termination for Convenience: The Client may terminate the service agreement for convenience upon 60 days’ written notice. In such case, the Client will be responsible for paying for all Services provided up to the date of termination.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms or the Services will be subject to the exclusive jurisdiction of the courts of India.

11. Amendments

The Company reserves the right to amend these Terms at any time. The Company will notify the Client of any material changes to the Terms. Continued use of the Services after any such changes constitutes acceptance of the new Terms.
